BRIEF JOB DESCRIPTION

Legal Advisor to the PMC/EPCM joint venture on the client’s Project. 

The individual will be a member of the Pearl leadership team and will be responsible for providing legal advice and assurance to the JV team. 

The individual will be working largely independently.

The role will involve, inter alia:

  • ensuring legal compliance with the PMC Contract and working with the JV team to provide legally sound solutions in a commercial environment;
  • working with the JV contracts team to ensure that the JV is managing the contacts (POs, lump sum and reimbursable EPC, engineering and consultancy contracts) in accordance their terms and providing internal advice in respect to contractual issues including claim/VO matters;
  • reviewing and drafting correspondence;
  • liaising and negotiating with the Client in respect of legal matters;
  • advising on JV matters and where required drafting various contracts to ensure the provision of services by individuals and companies in various locations;
  • providing advice to and supporting project HR, HSE and controls;
  • ensuring corporate governance and compliance with  code of business conduct provide appropriate training;
  • presenting commercial awareness and conduct presentations, drafting and presenting other presentations as the need arises;
  • claims prevention and management.

The role will involve travel, largely to Qatar but also other locations from time to time.

Legal and Compliance Director - Central London

Summary of Role

  • To support the CEO in the successful delivery of the objectives set out in the Corporate Plan
  • To work with the rest of the Operational Management Group (OMG) in delivering the business objectives   
  • To provide company secretarial duties and other support in relation to compliance issues

Responsibilities

  • Work in collaboration with the rest of the senior management team to ensure successful delivery of the Board strategy as set out in the Corporate Plan
  • Provide company secretary support services to the CEO and overseeing all corporate and membership compliance matter
  • Responsible for devising and implementing the legal strategy in line with the Corporate Plan
  • Responsible for planning, maintaining, managing and implementing the update (where necessary) of all agreements, contract and legal publications
  • Responsible for appointment, management and coordination of external legal advisers,where necessary
  • Provide leadership, direction and risk management advice on agreements and contractual related matters between and third party providers
  • Prepare responses on all legal and procurement related consultation at regional, national and international arena
  • Develop and implement a risk management strategy for members across different size and scope of operations
  • Provide secretariat support for Legal and Commercial Group, the Health and Safety Group and the Insurance Group
  • To participate and contribute to the activities of task forces and Sector Interest Groups, where necessary
  • Represent at industry bodies such as FIDIC, EFCA, CIC, etc.
  • Responsible for planning and implementation of the Business and Legal help line services
  • Provide advice and comment on application of UK and EU law and directives both to members as well as to other parties.
  • Interface with legal committees and lawyers
  • Provide seminars and consultancy services to members and stakeholders as and when required.
  • Work with the rest of the senior management team to ensure appropriate internal risk management process is implemented
  • Provide all relevant support for members in relation to risk management
  • Provide consultancy support to member firms or third party stakeholders.
  • To work with the Membership and Regional Director in supporting regional activities
  • To manage the legal adviser, the HR manager and the legal assistant as part of the Legal and Compliance team

Personal Specification   

  • An energetic and passionate individual with competitive edge and ability to execute and deliver on time and to budget
  •  A barrister or solicitor qualification with ability to develop and mentor a successful legal team
  • At least five years' experience in the consultancy and/or engineering sector in the built and Natural environment
  • Non-contentious experience with ability to develop and deliver presentations for stakeholders
  • Strong interpersonal and communication skills (including strong written English) and the
  • Ability to work effectively with a wide range of stakeholders
  • Excellent IT skills including operational working knowledge of Microsoft suites of package
  • Ability to organise, prioritise and schedule work assignments
  • Strong people and project management skills, abilities to work in a team, and manage own workload

Contracts Manager - Watford, UK

Salary £38 to £43K plus all company benefits pension, health, gym, life assurance.

Prepare, review and negotiate complex and high-value contractual agreements and related documentation.

Responsibilities include:

Preparation, review and negotiation of a full range of complex and high-value commercial agreements across the entire EMEA territory with specific focus on the:

  • licensing of software
  • software solution development
  • Application Service Provider arrangements
  • provision of consultancy services
  • agreements for purchase

In addition to other varied legal matters and advice that primarily arises in respect of clients sales force activity the role includes giving legal advice with respect to the company's business operations and assisting with legal compliance for clients EMEA operations working with and updating legal precedents to reflect changes in local legislation and company policy,

 

To include assisting with:

  • the recognition of sales revenue under US GAAP
  • liaising with external counsel on local legal matters as appropriate
  • coordinating and working with the finance and tax groups in connection with structuring transactions effectively
  • assisting with compliance topics such as Export regulations and Data Protection and Privacy that are applicable to clients multi-jurisdictional operations
  • assisting with the integration of any acquired companies into the overall EMEA channel legal processes and procedures providing internal training on legal policies & procedures as applicable some UK and international travel may be required

The ideal candidate will…..

  • have a strong academic background and be educated to degree level
  • A post degree legal qualification (LPC and/or GDL Law Conversion Course or equivalent) is highly desirable (recently qualified solicitors will also be considered)
  • have excellent legal and commercial experience, preferably gained in-house within an IT environment
  • possess extensive contract law knowledge with strong drafting and negotiating skills
  • be commercially astute with sound commercial experience and business acumen
  • have strong transactional skills with excellent knowledge and experience of general commercial terms and conditions, with a strong bias towards software licensing, software solution development and ASP agreements
  • have excellent communication skills (both verbal and written) analytical skills (for the interrelationship between business and legal issues), organisation and administrative skills
  • have a 'can do' attitude and be able to work under pressure and to deadlines whilst maintaining a high level of accuracy and quality
  • possess initiative with ability to quickly and successfully analyse and resolve commercial and legal issues
  • have good general IT skills including Lotus Notes and Word (Excel skills desirable)
  • foreign language skills highly desirable (German or French preferred)

Contracts Administrator - Sunnyvale, CA. USA.

We are currently seeking a Contracts Administrator to join our exciting legal department. The Contracts Administrator will report to our Associate General Counsel and support our Contracts Manager and Legal Administrative Assistant as needed. This position is based in our corporate headquarters located in Sunnyvale, CA.

 

The key responsibilities include:

 

·              Manage Contract Execution Process:

  • Management of the complete life cycle of the Company’s contracts (from initial request to final signature)
  • Facilitate and track the approval and execution process
  • Field internal and external requests on status of contracts
  • Enforce Company’s contract execution policy and procedures
  • Review contracts to ensure completeness

 

·              Manage and Maintain Contracts Database: 

  • Entry of contract details into Company’s Contracts Database
  • Run reports from the Contracts Database for other departments

 

·              Negotiate Basic Contracts:

  • Draft, review, and negotiate evaluation, confidentiality and other types of basic agreements. Escalate to Contracts Manager as necessary.

 

·              Administrative Tasks:

  • Process and transmit legal correspondence pertaining to contracts, including drafting letters and faxes
  • Filing, faxing, distribution and organization of executed contracts
  • Provide support to non-legal departments as it pertains to contracts

 

The successful candidate will possess the following:

 

§         2-4 (or more) years of experience dealing with contract administration in a fast-paced environment (preferably within the hardware or software industry)

§         Detail oriented

§         Familiarity with standard concepts, practices and procedures related to contract terms and conditions

§         Experience reviewing and negotiating basic agreements

§         Excellent written communication skills

§         Advanced problem solving, organizational and analytical skills

§         Proficient in Microsoft Word, Outlook and Excel

§         Strong work ethic

§         Able to exercise independent judgment and work under pressure

§         Highly organized, with good time management skills; ability to handle multiple assignments simultaneously and meet deadlines
