Drafting Commercial Contracts Some Practical Ideas

August 2021
ContractGeneral

Abstract

Over 35 years of working with legal documents I have seen more horrors than is healthy: services agreements with goods warranties wallowing in the undergrowth; clauses that ran for hundreds of unpunctuated words and contradicted themselves as they went; documents that were so opaque that even the original writers didn’t know what they really meant! It’s clear that drafting contracts or, more accurately, drafting good contracts is not as easy as A, B, C. It’s a skill and a craft; something to be studied and worked at; something to be thought about and focused on. In short, contract drafting is more than just writing things down.
