Digital Notarial System in Corporate Relations

Abstract

Modern Russian laws rarely provides for the obligatory participation of a notary in corporate relations. First of all, these cases relate to the various actions of the members connected to shares in authorized capital of obshchestvo s ogranichennoy otvetstvennost'yu (limited liablity company, LLC) such as signing an offer to sell shares, concluding a deal to dispose shares or an agreement on granting an option to acquire shares, submitting a statement from a member declaring their withdrawal from the LLC, certifying a decision of a meeting of members on increasing the LLC’s authorized capital.
