Launching a Joint Venture - Reflections and Lessons Learned from a General Counsel Perspective

Abstract

This article considers the legal complexities related to the launching of a joint venture (JV), especially from the perspective of the legal corporate function. The authors’ goal is to assist in-house attorneys in understanding better what it takes to launch a JV as well as some of the risks and challenges involved. Based on a real-world case study, it takes the form of a conversational interview of the General Counsel and the Head of Corporate M&A from a large professional services organisation. The interview considers the factors that contributed to the success of the JV launch, including the critical legal deliverables and the lessons learned.
