A Walk Around International Subsidiary Management Processes

Abstract

Global Multinational Enterprises (MNEs) owning subsidiaries in foreign countries can recognize the challenge of managing a multinational portfolio. While many of them keep outsourced or decentralized managing structures, an increasing number of strong moving companies have started developing centralized International Subsidiary Management Teams (ICSMgmt) and standardized international processes, not only to ensure compliance with numerous international, federal, state and local requirements, but also to deliver more consistent, dynamic, efficient and cost effective subsidiary management (SM) outputs.

Karen Kamelman is Senior International Corporate Counsel of The Clorox Company. Karen leads the international subsidiary management team responsible for corporate governance for Clorox subsidiaries out of the United States, reporting to Company´s Corporate Secretary. She serves as finance, tax and treasury counsel for international, which includes providing legal analysis on corporate tax law developments, tax-efficient holding company structures, financing arrangements (including debt exchanges and recapitalizations), offshore structured settlement arrangements and cross charges structures. She also serves as Lead Attorney for Argentina, Uruguay and Paraguay. Prior to Clorox, Karen practiced corporate and commercial law at NDM Holding. She graduated from the Law School of the University of Buenos Aires with a double specialization in Public International and Commercial Law. She also obtained a Master’s in Business Administration from Centro de Estudios Macroeconómicos de Argentina (UCEMA).
